Part 1 — Introduction, Acceptance & Scope
1. Introduction
Miles High Construction Limited ("Miles High Construction," "Company," "we," "us," or "our") provides commercial flooring installation services, project coordination services, digital business tools, and related online services designed to support relationships with commercial clients, contractors, employees, suppliers, and business partners.
These Terms of Service ("Terms") establish the rules, conditions, rights, and responsibilities governing access to and use of the Miles High Construction website, Contractor Portal, Employee Portal, Administrative Portal, online forms, digital communication tools, file submission systems, quote request systems, and future mobile applications or online services operated by Miles High Construction.
By using our website, creating an account, submitting information, uploading documents, communicating with us electronically, or accessing any Miles High Construction platform, you agree to comply with these Terms.
2. Purpose of These Terms
The purpose of these Terms is to define the relationship between Miles High Construction and users of its digital services; establish acceptable standards for platform use; protect confidential business information; protect intellectual property rights; define user responsibilities; establish limitations regarding digital services; and provide legal protections for Miles High Construction and its users.
These Terms apply in addition to any separate agreements that may exist between Miles High Construction and specific individuals or organizations, including construction contracts, subcontractor agreements, employment agreements, confidentiality agreements, vendor agreements, and service agreements. Where a separate written agreement contains terms that conflict with these Terms, the written agreement may control to the extent of the conflict.
3. Acceptance of Terms
By accessing, browsing, registering for an account, submitting information, uploading documents, or otherwise using any Miles High Construction platform or service, you acknowledge that you have read and understood these Terms, agree to be legally bound by them, agree to comply with all applicable laws and regulations, and accept responsibility for your use of the Service.
If you do not agree with these Terms, you must not access the Service, create an account, upload information or documents, submit requests, or use any Miles High Construction digital platform. Continued use of the Service following updates to these Terms constitutes acceptance of the revised Terms where permitted by applicable law.
4. Definitions
- "Account" means a registered user profile created to access any Miles High Construction digital platform, including contractor, employee, administrative, and future authenticated accounts.
- "Company" means Miles High Construction Limited.
- "Contractor" means any individual, company, subcontractor, general contractor, commercial partner, supplier, consultant, or other business entity interacting with Miles High Construction.
- "Content" means any information, material, file, document, communication, or data submitted, uploaded, transmitted, or otherwise provided through the Service — including drawings, floor plans, specifications, images, documents, messages, project information, and bid submissions.
- "Platform" means all digital services operated by Miles High Construction, including the website, portals, applications, APIs, and related online systems.
- "Service" means all website features, digital tools, communications, portals, and online services provided by Miles High Construction.
- "User" means any person or organization accessing or using the Service, including clients, contractors, employees, suppliers, business partners, and website visitors.
5. Scope of Agreement
These Terms apply to all users interacting with Miles High Construction through digital or online services, including the Public Website (company information pages, service descriptions, contact forms, quote requests, project inquiries, careers pages, resource materials), Contractor Portal (registration, company profiles, RFQ submissions, bid submissions, document uploads, project communications), Employee Portal (accounts, scheduling information, job assignments, internal communications, time tracking, operational documentation), and Administrative Systems (CRM, project administration tools, reporting systems, account management, internal workflows).
6. Relationship Between These Terms and Privacy Policy
Your use of Miles High Construction services is also governed by our Privacy Policy, which explains how personal information is collected, used, stored, protected, and how privacy rights and request procedures work. By using the Service, you acknowledge that you have reviewed both these Terms of Service and the Privacy Policy. These documents operate together to establish the rules governing your relationship with Miles High Construction.
7. Business Purpose of the Service
Miles High Construction provides digital services primarily to support commercial business activities, including commercial flooring opportunities, contractor relationships, project coordination, business communications, workforce management, and operational efficiency. The Service is not intended for unauthorized personal, recreational, unlawful, or unrelated commercial use.
8. Updates to These Terms
Miles High Construction reserves the right to modify, update, or replace these Terms at any time due to business expansion, new platform features, technology changes, legal requirements, security improvements, or operational requirements. Updated Terms will become effective when published or communicated unless otherwise stated. Users are responsible for reviewing updated Terms periodically.
Part 2 — Accounts, Access & User Responsibilities
9. Website Access
Miles High Construction provides public access to its website for purposes including learning about our commercial flooring services, submitting inquiries, requesting quotations, communicating with representatives, and accessing publicly available information. Subject to these Terms, Miles High Construction grants users a limited, non-exclusive, revocable, non-transferable right to access and use the website for legitimate business purposes.
- Users agree not to interfere with website operations, attempt unauthorized access, circumvent security measures, copy or reproduce website content without permission, use automated systems to extract data without authorization, or use the website for unlawful purposes.
- Miles High Construction reserves the right to restrict or deny access where necessary to protect its systems, users, confidential information, or business operations.
10. Digital Platform Access
Miles High Construction may provide authenticated digital platforms for specific categories of users, including the Contractor Portal, Employee Portal, Administrative Portal, and future customer platforms or mobile applications. Access is provided only to authorized users and may be subject to account approval, identity verification, role assignment, security requirements, and applicable agreements.
11. Contractor Portal
The Contractor Portal is intended to support relationships with authorized commercial contractors, subcontractors, suppliers, and business partners. Depending on available features, it may allow users to create contractor profiles, submit qualification information, receive project opportunities, respond to RFQs, upload project documents, communicate regarding projects, track submissions, and manage business information.
Contractor Portal access does not guarantee future work opportunities, contract awards, project selection, or business relationships. Miles High Construction maintains sole discretion regarding project opportunities, contractor selection, and business decisions.
12. Contractor Account Registration
Individuals or organizations requesting Contractor Portal access may be required to provide information including legal business name, contact information, company representatives, areas of expertise, insurance information, certifications, safety documentation, and other qualification information. Users submitting registration information represent and warrant that the information is accurate, they have authority to represent the organization, they are authorized to submit documents, and the information does not violate third-party rights.
13. Contractor Account Approval
Registration does not automatically create an approved Contractor Portal account. Miles High Construction may review applications based on business suitability, experience, qualifications, project requirements, operational needs, and security considerations. Miles High Construction reserves the right to approve accounts, reject registration requests, request additional information, suspend access, or remove accounts. No explanation is required where permitted by law.
14. Employee Portal
The Employee Portal is intended for authorized workforce members and may support scheduling, job assignments, internal communications, time tracking, safety documentation, operational information, and company resources. Access is provided only to individuals authorized by Miles High Construction. Employees must use the platform only for legitimate employment-related purposes.
15. Administrative Portal
Administrative access may be provided to authorized personnel responsible for managing customer relationships, contractor accounts, projects, scheduling, internal operations, system administration, and reporting. Administrative accounts may have elevated permissions and must be protected with enhanced security practices. Administrative users must access information only when necessary, maintain confidentiality, follow internal security procedures, and avoid unauthorized disclosure.
16. Account Creation Requirements
When creating an account, users agree to provide information that is accurate, complete, current, and not misleading. Users must promptly update information if circumstances change. Providing false, misleading, or unauthorized information may result in account suspension, account termination, removal of submitted content, or restriction of platform access.
17. Account Eligibility
To create or maintain an account, users must have legal authority to enter into these Terms, provide accurate registration information, use the Service only for authorized purposes, and maintain compliance with applicable laws. Organizations creating accounts represent that the individual creating the account has authority to act on behalf of that organization.
18. Account Security Responsibilities
Users are responsible for protecting their account credentials. Users must maintain password confidentiality, avoid sharing login credentials, use appropriate security practices, notify Miles High Construction of suspected unauthorized access, and log out from shared devices where appropriate. Users are responsible for all activity conducted through their accounts unless caused by unauthorized access outside their reasonable control.
19. Password and Authentication Requirements
Miles High Construction may require users to maintain secure authentication practices, including strong passwords, password updates, multi-factor authentication where available, and account verification procedures. Users must not use another person's credentials, attempt to access another user's account, or circumvent authentication systems.
20. Role-Based Permissions
Miles High Construction uses role-based access controls to help ensure users only access information appropriate to their role. Access levels may differ between contractors, employees, managers, administrators, and other authorized users. Miles High Construction may modify permissions at any time based on operational requirements, security concerns, employment status, contractor relationship status, or project requirements.
21. Account Suspension and Termination
Miles High Construction may suspend, restrict, or terminate access to any account where reasonably necessary, including circumstances involving violation of these Terms, security concerns, unauthorized activity, misuse of the Service, false information, threats to system integrity, end of employment, or end of contractor relationship. Suspension or termination may occur without prior notice where immediate action is reasonably necessary to protect the Company, users, or systems.
22. Effect of Account Termination
Upon account termination, access credentials may be disabled, user permissions may be removed, uploaded content may be handled according to applicable agreements and policies, and information may be retained where legally or operationally required. Termination does not eliminate obligations that are intended to survive termination, including confidentiality obligations, intellectual property protections, liability limitations, and legal obligations.
23. No Unauthorized Access
Users must not attempt to access restricted areas of the platform, view information belonging to other users, modify system functionality, circumvent security controls, reverse engineer platform components, or interfere with platform operations. Unauthorized access attempts may result in immediate termination and may be reported to appropriate authorities where required.
24. User Responsibilities
Users of Miles High Construction digital platforms are responsible for using the Service in a professional, lawful, and responsible manner. By accessing or using the Service, users agree to provide accurate and complete information, maintain the confidentiality of account credentials, use the Service only for authorized purposes, respect the rights of Miles High Construction and other users, follow applicable laws and regulations, protect confidential information accessed through the Service, and maintain appropriate security practices.
25. Accuracy of Information
Users are responsible for ensuring that information submitted through Miles High Construction platforms is accurate, complete, and current — including contact details, company information, contractor qualifications, project information, bid submissions, uploaded documentation, and employment-related information. Miles High Construction is not responsible for decisions made based on inaccurate information provided by users.
26. Legitimate Business Use Requirement
The Service is intended to support legitimate commercial activities. Users must not use the Service for personal activities unrelated to Miles High Construction services, unauthorized commercial purposes, or activities unrelated to their role or relationship with Miles High Construction.
27. Professional Conduct Requirements
Users agree to interact with Miles High Construction, employees, contractors, and business partners professionally and respectfully. Users must not harass, threaten, or intimidate others, submit abusive or offensive content, misrepresent their identity or authority, interfere with legitimate business operations, or attempt to damage professional relationships. Miles High Construction reserves the right to take appropriate action against users who violate professional conduct expectations.
Part 3 — Prohibited Activities, Content & Compliance
28. Prohibited Activities
Users are prohibited from engaging in activities that may harm Miles High Construction, its systems, or other users. Prohibited activities include:
- Unauthorized Access: attempting to access accounts they do not own, accessing restricted systems without authorization, obtaining information through unauthorized means, or circumventing authentication mechanisms.
- System Interference: introducing malicious software, attempting denial-of-service attacks, disrupting platform availability, overloading systems, exploiting technical vulnerabilities, or interfering with normal operations.
- Unauthorized Data Collection: scraping information from the platform, collecting user information without authorization, extracting confidential business information, or using automated tools to copy platform data.
- Fraudulent Activities: providing false information, impersonating another person or organization, submitting fraudulent documents, misrepresenting qualifications, or engaging in deceptive business practices.
29. Malicious Software and Security Threats
Users must not upload, transmit, or distribute any material containing viruses, malware, ransomware, spyware, malicious scripts, harmful code, or other technologies designed to damage systems. Users must immediately notify Miles High Construction if they discover security vulnerabilities, unauthorized access, suspicious activity, or compromised credentials.
30. Upload Requirements
Certain Miles High Construction platforms may allow users to upload content, including drawings, floor plans, specifications, images, documents, safety records, bid information, and project materials. Users are responsible for ensuring uploaded content is accurate, relevant to the purpose of submission, does not violate applicable laws, does not infringe third-party rights, and does not contain unauthorized confidential information.
31. Prohibited Uploaded Content
Users must not upload content that violates privacy rights, infringes copyrights, trademarks, or other intellectual property rights, contains malicious code, contains unlawful material, contains confidential information belonging to another party without authorization, or is intentionally misleading or fraudulent. Miles High Construction may remove or restrict access to content that violates these Terms.
32. Intellectual Property Respect
Users agree to respect the intellectual property rights of Miles High Construction and third parties. Users must not copy proprietary materials without permission, reproduce website content, reverse engineer software, remove copyright notices, or use Miles High Construction branding without authorization.
33. Confidential Information Responsibilities
Users may receive access to confidential information including project documents, pricing information, contractor information, business strategies, client information, technical materials, and internal communications. Users agree to protect confidential information, use information only for authorized purposes, avoid unauthorized disclosure, and follow applicable confidentiality obligations.
34. Compliance With Laws and Regulations
Users are responsible for complying with all applicable laws, regulations, and professional obligations when using the Service, including privacy laws, construction requirements, contractual obligations, employment laws, intellectual property laws, and cybersecurity requirements. Miles High Construction is not responsible for a user's failure to comply with applicable laws.
35. Monitoring and Enforcement
To protect the security and integrity of its platforms, Miles High Construction may monitor system activity where reasonably necessary, including security logs, account activity, access records, system performance information, and uploaded content review where permitted. Monitoring is conducted for security, fraud prevention, system protection, compliance, and investigation of suspected misuse.
36. Reporting Violations
Users are encouraged to report suspected violations of these Terms, including unauthorized access, security concerns, fraudulent activity, misuse of confidential information, and harmful content. Reports may be submitted through Miles High Construction contact channels. The Company will review reported concerns and take appropriate action where necessary.
37. Enforcement Actions
Where a user violates these Terms, Miles High Construction may take actions including warning the user, removing content, restricting features, suspending access, terminating accounts, and pursuing legal remedies where appropriate. The Company may take immediate action where necessary to protect its systems, confidential information, business partners, employees, or other users.
Part 4 — Project Documentation & Content
38. Project Documentation
Miles High Construction platforms may allow users to submit, upload, access, or exchange project-related documentation for legitimate commercial purposes, including architectural drawings, engineering drawings, floor plans, blueprints, specifications, tender packages, RFQs, scope documents, site photographs, safety documentation, product information, installation requirements, project schedules, correspondence, and other construction-related materials. Users acknowledge that project documentation may contain confidential, proprietary, or commercially sensitive information belonging to clients, contractors, suppliers, or other parties.
39. Authority to Submit Documents
By uploading or submitting project documentation, users represent and warrant that they have the legal authority to submit the information, have obtained any necessary permissions, are not violating confidentiality obligations, and are not infringing third-party intellectual property rights. Users are solely responsible for ensuring that submitted materials may legally be shared with Miles High Construction.
40. Ownership of Uploaded Content
Users retain ownership of documents, files, and materials they submit through Miles High Construction platforms. Nothing in these Terms transfers ownership of drawings, specifications, images, documents, business information, or other uploaded materials. Miles High Construction does not claim ownership of user-submitted content.
41. Limited License Granted to Miles High Construction
By submitting, uploading, or providing content through the Service, users grant Miles High Construction a limited, non-exclusive, worldwide, royalty-free license to access, store, reproduce, process, review, and use such content solely for legitimate business purposes — including evaluating project opportunities, preparing estimates, responding to RFQs, coordinating installations, communicating with authorized parties, performing contractual obligations, and maintaining business records. This license does not grant Miles High Construction ownership rights over submitted materials.
42. Confidential Treatment of Project Materials
Miles High Construction recognizes that construction documents may contain sensitive commercial information. Reasonable measures may be used to protect project information, including access restrictions, role-based permissions, security controls, confidentiality obligations, and internal procedures. However, users acknowledge that no electronic storage or transmission system can guarantee absolute security.
43. Use of Drawings, Plans, and Technical Documents
Drawings, plans, specifications, and technical documents submitted through the Service are used only for purposes related to project evaluation, commercial flooring estimates, installation planning, construction coordination, and business discussions. Miles High Construction will not knowingly use submitted project documents for unrelated purposes without appropriate authorization.
44. RFQ and Bid Submissions
The platform may allow contractors or business partners to submit responses to Requests for Quotations ("RFQs") or project opportunities. RFQ submissions may include pricing information, labour estimates, availability, qualifications, proposed schedules, technical information, and supporting documentation. Submitting an RFQ response does not create a contract, a guarantee of work, a promise of payment, or a commitment to award a project.
45. Evaluation of Submissions
Miles High Construction may evaluate RFQ responses based on pricing, experience, availability, qualifications, project requirements, commercial considerations, and operational needs. Miles High Construction retains discretion regarding which submissions are considered, which contractors are selected, whether a project proceeds, and whether negotiations occur.
46. No Guarantee of Project Award
Participation in the Miles High Construction platform, submission of qualifications, or response to an RFQ does not guarantee contractor approval, invitation to bid, contract award, future business opportunities, or minimum work volume. Miles High Construction may choose another contractor, modify project requirements, cancel opportunities, or discontinue projects at its discretion.
47. Estimates and Quotations
Information provided through the Service may assist Miles High Construction in preparing estimates, labour calculations, project assessments, and commercial proposals. Users acknowledge that preliminary estimates may change based on site conditions, material availability, updated project requirements, additional information, scope changes, and construction conditions. Unless expressly stated in a written agreement, estimates and preliminary discussions do not constitute binding contracts.
48. Accuracy of Project Information
Users providing project information are responsible for ensuring that submitted information is accurate and complete — including square footage, site conditions, existing flooring conditions, specifications, access requirements, and scheduling requirements. Miles High Construction is not responsible for errors, delays, or additional costs resulting from inaccurate or incomplete information provided by users or third parties.
49. Third-Party Project Information
Project information may originate from third parties, including general contractors, property owners, architects, engineers, consultants, and suppliers. Miles High Construction does not guarantee the accuracy, completeness, or reliability of information provided by third parties. Users should independently verify information where appropriate.
50. Business Information Protection
Miles High Construction may receive confidential business information through its platforms, including company information, pricing information, contractor qualifications, project strategies, and business communications. Users agree not to misuse or disclose confidential business information obtained through the Service.
51. Document Retention
Miles High Construction may retain uploaded documents and project-related information for purposes including recordkeeping, contract administration, dispute resolution, legal compliance, warranty support, and business continuity. Retention periods may vary depending on legal requirements, contractual obligations, business needs, and the nature of the information.
52. Removal of Uploaded Content
Miles High Construction may remove, restrict, or disable access to uploaded content where reasonably necessary, including where content violates these Terms, creates security risks, violates legal obligations, contains unauthorized material, or is no longer required. Where appropriate, users may request removal of submitted materials subject to legal, contractual, or operational requirements.
53. No Responsibility for User-Provided Materials
Miles High Construction does not guarantee that user-submitted materials are accurate, complete, suitable for construction purposes, meet regulatory requirements, or do not infringe third-party rights. Users remain responsible for the materials they provide.
Part 5 — Intellectual Property
54. Ownership of Miles High Construction Intellectual Property
All content, materials, systems, and technology made available through the Miles High Construction website, platforms, and digital services are owned by or licensed to Miles High Construction Limited unless otherwise stated. This includes website design, structure, user interface elements, company branding, logos, trademarks, trade names, graphics, images, written content, service descriptions, digital features, software components, source code, database structures, platform architecture, documentation, and internal systems. All intellectual property rights are reserved.
55. Miles High Construction Name and Branding
The name Miles High Construction, including associated logos, designs, slogans, visual elements, and brand identifiers, are valuable business assets of Miles High Construction Limited. Users may not copy Company branding, modify Company logos, use Company trademarks without authorization, create confusingly similar branding, or represent themselves as affiliated with Miles High Construction without permission.
56. Website Content Ownership
All content published through Miles High Construction digital platforms is protected by applicable intellectual property laws, including text, service descriptions, pricing information, marketing materials, photographs, videos, graphics, downloads, and educational materials. Users may access website content only for personal or legitimate business purposes related to interacting with Miles High Construction.
57. Limited Use License
Subject to compliance with these Terms, Miles High Construction grants users a limited, temporary, non-exclusive, non-transferable, revocable license to access and use the Service. This license allows users to view publicly available content, submit legitimate business inquiries, use authorized portal features, and access information provided for their role. This license does not grant ownership rights or permission to commercially exploit Company materials.
58. Restrictions on Use of Company Materials
Users must not, without prior written authorization from Miles High Construction: copy substantial portions of the website, reproduce Company materials, republish platform content, sell or distribute Company information, create derivative works, remove copyright notices, use content for competing services, or extract databases or platform information.
59. Software and Platform Ownership
The digital systems operated by Miles High Construction, including future software applications, portals, and online tools, may contain proprietary technology including front-end interfaces, backend systems, databases, authentication systems, APIs, workflow tools, automation systems, and security systems. All rights, title, and interest in the platform technology remain with Miles High Construction or its applicable licensors.
60. Source Code and Technical Infrastructure
Users may not access source code without authorization, copy software components, reverse engineer systems, decompile applications, attempt to discover system architecture, or circumvent technical protections.
61. User-Submitted Content Rights
Users retain ownership of content they submit through Miles High Construction platforms, subject to the licenses granted under these Terms. User-submitted content may include drawings, project documents, company information, communications, images, and other uploaded materials. Miles High Construction does not obtain ownership of user-submitted content solely because it is uploaded to the Service.
62. Feedback and Suggestions
Users may provide feedback, recommendations, ideas, or suggestions regarding Miles High Construction services or digital platforms. By submitting feedback, users acknowledge that Miles High Construction may use such feedback for legitimate business purposes, including improving services, developing features, enhancing operations, and improving user experience. Unless otherwise agreed in writing, feedback submissions do not create ownership rights or compensation obligations.
63. Third-Party Intellectual Property
The Miles High Construction platform may include third-party materials, technologies, trademarks, or services belonging to other organizations, including software libraries, cloud service technologies, integration tools, manufacturer information, and partner materials. Third-party intellectual property remains the property of its respective owners.
64. Copyright Protection
Unauthorized copying, distribution, modification, or reproduction of Miles High Construction materials may violate copyright laws and these Terms. Miles High Construction reserves all available legal rights and remedies regarding unauthorized use of its intellectual property.
65. Trademark Protection
Nothing contained within these Terms grants users any right or license to use Miles High Construction trademarks, logos, trade names, or brand assets. Any unauthorized use that creates confusion regarding affiliation, endorsement, or sponsorship is prohibited.
66. No Transfer of Rights
Except for the limited permissions expressly provided in these Terms, use of the Service does not transfer ownership rights, intellectual property rights, software rights, branding rights, or proprietary information rights. All rights not expressly granted remain reserved by Miles High Construction Limited.
67. Enforcement of Intellectual Property Rights
Miles High Construction reserves the right to take appropriate action against unauthorized use of its intellectual property, including removal requests, account restrictions, suspension of access, legal proceedings, and claims for damages or remedies available under applicable law.
Part 6 — Digital Services, Security & Technology
68. Digital Services Overview
Miles High Construction may provide digital services designed to support commercial operations, including website functionality, contractor management systems, employee systems, administrative tools, project communication platforms, document management systems, scheduling systems, quote and RFQ systems, and future mobile applications or technology platforms. Digital services are provided to improve communication, organization, and operational efficiency. Miles High Construction reserves the right to modify, enhance, suspend, or discontinue any digital service or feature at any time where reasonably necessary for business, technical, security, or legal reasons.
69. Platform Availability
Miles High Construction makes reasonable efforts to maintain reliable access to its digital platforms. However, users acknowledge that the Service may occasionally be unavailable due to scheduled maintenance, software updates, security improvements, hosting provider issues, internet outages, technical failures, or events outside the Company's reasonable control. Miles High Construction does not guarantee that the Service will always be available, uninterrupted, error-free, free from defects, or compatible with all devices or systems.
70. Maintenance and System Updates
Miles High Construction may perform maintenance, upgrades, or modifications to its digital systems, including software updates, security patches, infrastructure improvements, database maintenance, feature improvements, and system upgrades. Where reasonably practicable, advance notice of planned maintenance that materially affects platform availability may be provided.
71. Technical Requirements
Users are responsible for maintaining the equipment and connections required to access the Service, including compatible devices, internet access, updated browsers, secure operating systems, and appropriate security software. Miles High Construction is not responsible for issues caused by user devices, internet providers, local network problems, unsupported software, or user configuration errors.
72. Cloud Infrastructure and Hosting Services
Miles High Construction may use third-party cloud infrastructure providers to operate its digital platforms for website hosting, database storage, authentication, file storage, application hosting, backup systems, and security monitoring. Although Miles High Construction selects providers based on operational and security considerations, third-party infrastructure providers remain independent organizations.
73. Third-Party Service Providers
Miles High Construction may use third-party providers to support business operations, including hosting providers, database providers, authentication services, email providers, analytics services, payment providers where applicable, communication tools, security services, and project management tools. These providers may process information on behalf of Miles High Construction according to applicable agreements and security requirements.
74. Third-Party Service Limitations
